Aged LLC questions, answered
Can you legally sell an LLC?
Yes. Owners can sell their membership interest in an LLC to a buyer, subject to the LLC's operating agreement and state law. The sale is documented with a purchase agreement and an assignment of membership interest.
What is an aged LLC?
An aged LLC is a limited liability company that was formed years ago and remains active and in good standing. Some were never used; others operated a business that has since closed.
Is an aged LLC the same as a shelf company?
A shelf company is formed by a dealer and held unused until sold. The LLCs on our marketplace come from real owners, so each one has its own history, which the seller must disclose.
Will an aged LLC give me business credit or help me get a loan?
No. An LLC's age alone does not create business credit, revenue or operating history. Presenting a purchased LLC's formation date as your own time in business can be fraud.
How much is my old LLC worth?
Price depends mainly on age, state, standing and history. Older LLCs in good standing with a clean history are in the highest demand. We share comparable listings during review.
Does the EIN transfer with the LLC?
The EIN belongs to the LLC, but a change in ownership often calls for a new one. Buyers should confirm with their CPA.
What happens to the LLC's past debts or lawsuits?
They stay with the LLC. That is why sellers must disclose past activity and buyers should do their own due diligence before closing.
Will you buy an LLC that is not in good standing?
Often, yes. If the LLC can be reinstated and the requirements are clear, we may make a cash offer that accounts for the reinstatement cost. Some LLCs cannot be reinstated, or have lost their name, and those we pass on.
Do you own the LLCs you sell?
Some of them. Most listings are sold by their owners. Others we bought, reinstated where needed, and now resell. Every listing states which it is.
What does it cost to sell my LLC?
If you list it, our fee is paid only when it sells and is quoted after we review your LLC. If you sell it to us, there is no fee; our cash offer is the price.
Is my information kept private?
Yes. Sellers' entity names are shared only with approved buyers. Sensitive documents are collected through a secure process, never by ordinary email.
